1. Introduction & Scope

These Wholesale Terms and Conditions ("Terms") govern all business relationships between Antwerp Mounts ("Company," "we," "us," or "our"), a gold jewelry mounting manufacturer and supplier based in Antwerp, Belgium, and approved wholesale customers ("Buyer," "you," or "your").

By placing an order or continuing to do business with Antwerp Mounts, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Wholesale Account Eligibility

2.1 Qualification Requirements

To qualify for a wholesale account, applicants must:

• Operate a legitimate jewelry retail, manufacturing, or design business
• Provide valid business registration documentation
• Submit a valid VAT number (for EU businesses) or equivalent tax identification
• Demonstrate relevant industry experience or credentials
• Meet minimum order requirements as specified

2.2 Account Approval

All wholesale applications are subject to review and approval at our sole discretion. We reserve the right to decline any application without providing reasons. Account approval typically takes 24-48 business hours.

2.3 Account Verification

We may request additional documentation to verify your business credentials, including but not limited to business licenses, resale certificates, or references from existing suppliers.

3. Pricing & Payment Terms

3.1 Wholesale Pricing

Wholesale prices are exclusive of VAT and applicable taxes. Prices are subject to change without prior notice. Published prices are valid at the time of order placement.

3.2 Gold Pricing

Due to the volatile nature of precious metal markets, gold-based product pricing is calculated based on the current gold spot price at the time of order confirmation. Final pricing will be confirmed before order processing.

3.3 Payment Methods

We accept the following payment methods:

• Bank transfer (SEPA for EU, SWIFT for international)
• Credit/debit card (Visa, Mastercard, American Express)
• PayPal Business

3.4 Payment Terms

Full payment is required prior to order processing and shipment.

3.5 Currency

All prices are quoted in Euros (EUR). Payment in other currencies may be accepted at the exchange rate prevailing at the time of payment.

3.6 Late Payment

Late payments are subject to interest at a rate of 1.5% per month or the maximum rate permitted by Belgian law, whichever is lower. We reserve the right to suspend services and future orders for accounts with overdue balances.

4. Orders & Requirements

4.1 Order Confirmation

All orders are subject to acceptance and confirmation by Antwerp Mounts. An order confirmation will be sent within 2 business days of order receipt.

4.3 Order Modifications

Order modifications may be requested within 24 hours of order placement. After this period, modifications may incur additional fees or may not be possible depending on production status.

4.4 Custom Orders

Custom or made-to-order items require a 50% deposit upon order confirmation. Custom orders cannot be cancelled once production has commenced.

5. Shipping & Delivery

5.1 Shipping Methods

We ship via insured courier services (DHL, FedEx, UPS) with full tracking. Shipping costs are calculated based on order weight, dimensions, and destination.

5.2 Delivery Times

• Stock Items: 2-7 business days within EU, 7-14 business days internationally
• Made-to-Order: 2-4 weeks depending on complexity
• Custom Design: Timeframe provided upon quotation

5.3 Risk of Loss

Risk of loss passes to the Buyer upon delivery to the specified shipping address. All shipments are fully insured during transit.

5.4 Shipping Restrictions

We do not ship to certain countries due to regulatory restrictions. Please contact us to confirm shipping availability to your location.

6. Quality Assurance & Specifications

6.1 Gold Purity Standards

All gold mountings are manufactured to the following purity standards:

• 14K Gold: 58.5% pure gold (585 fineness)
• 18K Gold: 75% pure gold (750 fineness)
• Platinum: 95% pure platinum (950 fineness)

6.2 Hallmarking

All products are hallmarked in compliance with Belgian and EU precious metals regulations. Products include our manufacturer's mark and purity stamps.

6.3 Certificates

Certificates of authenticity are provided upon request. Material certificates documenting gold purity and origin are available for an additional fee.

7. Returns & Warranty

7.1 Return Policy

Stock items may be returned within 14 days of delivery if unused, in original packaging, and in resalable condition. Returns are subject to a 15% restocking fee.

7.2 Non-Returnable Items

• Custom or made-to-order items
• Items that have been modified, sized, or set with stones
• Items not in original condition

7.3 Defects & Claims

Claims for defective merchandise must be reported within 48 hours of delivery. Defective items will be replaced or credited at our discretion.

7.4 Manufacturing Warranty

We warrant all products against manufacturing defects for a period of 12 months from date of delivery. This warranty does not cover normal wear, damage from misuse, or modifications by third parties.

8. Intellectual Property

8.1 Designs & Trademarks

All designs, patterns, and trademarks remain the exclusive property of Antwerp Mounts. Wholesale customers are granted a limited license to resell our products but may not reproduce our designs or use our trademarks without written consent.

8.2 Confidentiality

Wholesale pricing, technical specifications, and business terms are confidential information and may not be disclosed to third parties.

9. Compliance & Legal

9.1 Governing Law

These Terms are governed by Belgian law. Any disputes shall be subject to the exclusive jurisdiction of the courts of Antwerp, Belgium.

9.2 Export Compliance

Buyer agrees to comply with all applicable export laws and regulations. Antwerp Mounts is not responsible for any customs duties, import taxes, or regulatory compliance in the destination country.

9.3 Anti-Money Laundering

In compliance with Belgian and EU anti-money laundering regulations, we may require additional documentation for high-value transactions and reserve the right to report suspicious activities to relevant authorities.

9.4 Responsible Sourcing

Antwerp Mounts is committed to responsible sourcing practices. Our gold supply chain complies with the OECD Due Diligence Guidance and we participate in relevant industry certification programs.

10. Limitation of Liability

To the maximum extent permitted by law, Antwerp Mounts' total liability for any claims arising from these Terms or from any purchase shall not exceed the value of the specific order giving rise to such claim.

In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits or business opportunities.

11. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, labor disputes, government actions, precious metal supply disruptions, or pandemic conditions.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Significant changes will be communicated to active wholesale accounts. Continued placement of orders after notification constitutes acceptance of the modified Terms.

13. Communications & Data Processing

13.1 Essential Communications

By registering for a wholesale account, you agree to receive essential business communications, including:

• Account approval and status notifications
• Order confirmations, shipping updates, and delivery notifications
• Important policy changes, pricing updates, and product recalls
• Invoice and payment-related communications
• Account security and verification messages

These communications are necessary for the performance of our business relationship and cannot be opted out of while maintaining an active wholesale account.

13.2 Marketing Communications

With your consent, we may also send marketing communications, including:

• New product announcements and catalog updates
• Promotional offers and special wholesale pricing
• Industry insights and jewelry market news
• Event invitations and trade show notifications

You may unsubscribe from marketing communications at any time via the unsubscribe link in any email or by contacting us directly. Unsubscribing from marketing does not affect essential business communications.

13.3 Legal Basis for Processing

We process your personal data under the following legal bases as defined in GDPR:

• Article 6(1)(b) - Contract Performance: Processing necessary for the performance of our wholesale partnership agreement, including order processing, shipping, invoicing, and customer support.
• Article 6(1)(f) - Legitimate Interests: Processing for B2B communications relevant to your wholesale business relationship, fraud prevention, and business analytics.
• Article 6(1)(a) - Consent: For marketing communications where you have opted in.

13.4 Data Retention

We retain your business and transaction data for as long as your wholesale account is active, plus an additional period as required by Belgian commercial and tax law (typically 7-10 years for financial records). You may request deletion of non-essential data at any time by contacting our data protection team.

13.5 Your Rights
